Confidentiality agreement

This confidentiality agreement ("Agreement") is offered as self-service by FolieSys SAS, publisher of the Ripskore service, to manufacturers and importers who upload technical documents for Repairability Index or Durability Index evaluation. It supplements the General Terms of Sale and General Terms of Use. FolieSys SAS has pre-signed this template; the customer may complete the customer signature block and keep a copy. Counter-signature is not required to use the platform.

1. Parties

FolieSys SAS, a simplified joint-stock company registered with the Paris Trade and Companies Register under number 105 183 933, with its registered office at 47 rue Vivienne, 75002 Paris, publisher of the Ripskore service ("Ripskore" or the "Recipient").

The business customer identified in the signature block below or, failing that, the legal entity or individual acting in a professional capacity who uploads documents on the Ripskore platform ("Customer" or "Disclosing Party").

2. Purpose

The Customer transmits highly sensitive technical information and documents relating to its products to Ripskore as part of a product submission folder. This Agreement governs receipt, processing, and protection of such Confidential Information by Ripskore.

3. Confidential information

"Confidential Information" means any information or documents, in any form, provided by the Customer to Ripskore or made available through the platform, including without limitation: bills of materials (BOM), plans, exploded views, schematics, spare parts price lists, warranty data, quality processes, test results, know-how, and any data derived or internal analysis produced by Ripskore from such materials.

Compliance deliverables produced by Ripskore for the Customer (calculation sheet, signage, reports) are not Customer Confidential Information under this Agreement once delivered to the Customer; Ripskore's own methods, templates, and tools remain the exclusive property of FolieSys SAS.

4. Ripskore commitments

Ripskore undertakes to: (a) treat Confidential Information with the highest degree of confidentiality; (b) not sell, rent, assign, or disclose it to third parties without the Customer's prior written consent, except where required by mandatory law or a competent authority — in which case Ripskore will inform the Customer to the extent permitted by law; (c) limit access to authorised staff and subprocessors bound by at least equivalent confidentiality obligations; (d) use Confidential Information solely to perform the relevant submission folder (document review, index calculation, deliverable production); (e) expressly refrain from using such information for its own research and development, for improving third-party services, or for enriching public databases.

5. Exclusions

The following are not Confidential Information: (a) information already public or known to the public at disclosure without fault of Ripskore; (b) information that becomes public thereafter without breach of this Agreement; (c) information legitimately known to Ripskore before receipt without confidentiality obligation; (d) information independently developed by Ripskore without use of the Customer's Confidential Information; (e) information received from a third party authorised to disclose it without restriction.

6. Term

Confidentiality obligations take effect on the date of first transmission of Confidential Information by the Customer and remain in force for the duration of processing of the relevant submission folder, then for five (5) years from the last disclosure relating to that folder.

7. Return and destruction

Upon completion of folder processing or upon the Customer's written request, Ripskore deletes or anonymises Confidential Information in accordance with its retention policy, subject to legal or evidential retention obligations. Technical backups may persist for their usual rotation cycle, remaining subject to this Agreement.

8. Intellectual property

The Customer retains all intellectual property rights in Confidential Information it transmits. No assignment of rights is granted to Ripskore beyond the limited licence necessary to perform the submission folder, as defined in the General Terms of Sale.

9. Security and hosting

Confidential Information is hosted on servers located exclusively in the European Union, with encryption at rest and in transit and restricted access, in accordance with the General Terms of Sale and General Terms of Use.

10. No warranty

Confidential Information is provided "as is". Ripskore gives no warranty as to its accuracy or completeness; the Customer remains fully responsible for transmitted content.

11. Governing law and disputes

This Agreement is governed by French law. Any dispute relating to confidentiality, failing amicable resolution within thirty (30) days, falls to the exclusive jurisdiction of the courts with jurisdiction over FolieSys SAS's registered office, subject to mandatory rules.
